The opportunity.
Top 4 Global Advisory Firm are looking for a Manager or Senior Manager/AD with strong SPA Advisory exposure potentially looking for a new mentor, career path and a structured path to Director.
As our Manager or Senior Manager you’ll work with many of the world’s largest organisations, fastest-growing companies and private equity firms on some of the most complex deals in both the Oceania and global market, across a broad variety of industries.
There is some flexibility on location and the role can be supported in any Australian office supporting the broader team nationally.
Your key responsibilitiesAs a senior member of the team, you will:
Lead and deliver complex SPA advisory engagements - Oversee end to end SPA support for acquisitions and divestments, including analysis of cash, debt and working capital, preparation of pricing schedules, and review of Completion Accounts.
- Provide guidance to clients, legal advisers and banking teams to ensure financial mechanisms in the SPA align with diligence findings and value drivers.
Provide high impact commercial insights
Advise clients on optimal purchase price mechanisms (e.g., locked box, completion accounts), using financial analysis, diligence outputs and market benchmarks.
- Support negotiations by helping client’s articulate data driven positions and understand key valuation considerations.
Develop strong client relationships and drive business growth - Build and manage enduring relationships with senior stakeholders across private equity, corporate clients and internal teams.
- Proactively identify opportunities, scope new engagements and lead multi disciplinary teams to deliver integrated outcomes.
Skills and attributes for success - Possess a bachelor or master degree in accounting, business, finance, or economics, and be a member of the Institute of Chartered Accountants, CAANZ, or an international equivalent.
- Have at least 5 years of experience in a professional services or chartered accounting environment, or in a financial performance and analysis or mergers & acquisitions role at a corporate organisation.
- Demonstrated ability to quickly develop, build, and manage relationships with multiple clients and teams, both external and internal. Experience working with senior stakeholders on multiple engagements in a Transaction Diligence role or mergers and acquisitions environment.
- A keen interest in understanding businesses, transactions, and deal value drivers. Passion for client service excellence, attention to detail, and the ability to grasp complex issues and explain them clearly to non-accountants.
